Sample questions
Two questions from this practice test, in the same style as the certification exam. Answer before opening the explanation.
Question 1
The board approved an AI system that sets credit limits for small-business customers. Months later, a regulator asks how the board oversaw that decision. Which record would best demonstrate the board's oversight?
- The vendor's certification and the management presentation that were circulated to directors before the meeting
- A resolution recording that the board approved the rollout unanimously, signed by the chair and the secretary
- Minutes showing the information directors received, the questions they raised and the conditions and follow-ups they set
- An external legal opinion, obtained after the regulator's request, confirming that the rollout complied with the law
Show answer and explanation
Correct answer: C. Minutes showing the information directors received, the questions they raised and the conditions and follow-ups they set
Oversight is shown by an informed and deliberate process, and minutes are its main evidence: what information the board had, how directors challenged it, and which conditions (limits, reporting, review dates) they attached to the approval. The vendor certificate and the slides show what was available to directors, not that they engaged with it. A unanimous resolution records the outcome but says nothing about how the decision was reached. An opinion obtained after the question was asked may support the company's legal position, but it cannot show how the board decided at the time.
Question 2
The board must choose between two vendors for an AI platform that will run customer operations. One director holds shares in one of the bidders and is paid as its adviser. What is the most appropriate way to handle this?
- The director declares the interest and the board applies its conflict policy, normally excluding the director from the debate and the vote
- The director declares the interest and joins the debate to share expertise, abstaining only from the final vote
- The director sells the shares before the meeting, after which no further disclosure or step is needed
- The board has an independent consultant score both bids, which removes the need to deal with the director's interest
Show answer and explanation
Correct answer: A. The director declares the interest and the board applies its conflict policy, normally excluding the director from the debate and the vote
A material conflict of interest is handled by disclosure and by applying the board's conflict policy, which for an interest of this kind normally means the director leaves both the deliberation and the decision, and the minutes record it. Taking part in the debate still lets the conflicted director shape the discussion, so abstaining only at the vote is weaker. Selling the shares leaves the paid advisory role in place, and the interest still has to be disclosed. An independent scoring of the bids is good practice, but it does not neutralise a conflicted director who stays in the room.
